The screen on the iPAQ is definitely much better.

The 5450 has built-in WiFi, so you won't need a sleeve and PC card or CF card to access 802.11b networks.

If you want to compare benchmarks, we have benchmarks on the reviews for each unit (sorry no side by side for the e740 and 5450, you'll need to look at both reviews to compare.
